About the Role

We are looking for a dedicated Team Assistant Company Secretary to support our Company Secretarial team and Principal Investor Relations. The role ensures regulatory compliance, efficient board operations, and effective investor relations.

Key Responsibilities

  • Corporate Governance & Compliance
    • Maintain and update corporate records for South African subsidiaries on Kuberno.
    • Ensure timely statutory filings to avoid fines.
    • Administer statutory changes (directors, secretary, registered office, articles, company name changes, annual returns, beneficial ownership filings).
    • Support governance arrangements for operating licenses and B-BBEE rating certificates.
    • Prepare auditor packs and address audit requests.
    • Maintain the conflict of interest register.
  • Meeting Management
    • Organise and maintain records of minutes, resolutions, and declarations.
    • Arrange board, committee, ethics committee, AGM roadshows, and ad‑hoc meetings.
    • Provide general assistance during meetings (minutes, room booking, catering, equipment).
    • Upload SIOC Opco packs on Diligent and Teams.
  • Director Onboarding & Governance
    • Schedule onboarding for new directors, register with IODSA, and maintain training records.
    • Assist with banking/treasury governance (delegated authorities, bank mandates, KYC/FICA).
    • Coordinate with Legal, Tax, Treasury, Finance, and external agencies on statutory documentation.
    • Support the Compliance Specialist with GPSC policy register and the Business Integrity Implementation Manager with intermediary risk management.
  • Investor Relations Support
    • Plan and manage investor roadshows and events (travel, venues, equipment).
    • Format and distribute investor documents (annual/interim results, roadshow packs).
    • Upload SENS announcements, presentations, and other investor material.
    • Maintain the annual investor relations calendar and update stakeholders.
    • Assist the Principal Investor Relations with Nasdaq system updates and troubleshooting.
  • Research & Documentation
    • Maintain a record of credible information sources and update their reliability.
    • Collect data using standardised templates and checklists.
    • Store research documentation securely and apply version control.
  • Administrative Support
    • Manage expense reconciliations and invoice administration.
    • Prepare purchase orders on SAP and handle invoicing.
    • Coordinate travel bookings and visa applications.
    • Provide general document filing, courier handling, and stationery orders.
    • Monitor diaries for critical appointments.

Qualifications

  • Grade 12 / N3 Technical
  • Relevant Office Administration qualification (NQF4)
  • ACIS qualification in Administration and Governance or equivalent (NQF5) – preferred
  • Valid South African driver’s licence

Technical Knowledge

  • 3–5 years of experience in a company secretarial environment
  • Proficient in MS Office; knowledge of SAP and Nasdaq system is advantageous
  • Familiarity with board structures, committee functions, and director/ trustee roles
  • Understanding of compliance standards (anti‑corruption, data protection, industry regulations)
  • Experience with administrative processes for research, reporting, and communication
